Licensing Agreement – Auto-Motive Industry

Our client publishes business intelligence aimed at the auto-motive industry. We were asked to help put a bespoke agreement in place for a new data product they were seeking to develop. Understanding our clients’ long-term plans for the product was key to ensuring it had sufficient flexibility in the contractual relationship with the data supplier.  It meant the client was able to fulfil those long term plans, while still acting within the confines of the agreement. With the long term plans in mind, we also helped the client to ensure that its confidential information and intellectual property rights were called out and protected. 

Meanwhile, quality standards of the data being provided was also key. We helped the client set out those standards and devised an escalation procedure if quality failed to meet the standards, including financial remedies and ultimately exit provisions.

Licensing of English language content – Published Materials

Our client is an author and creator of English language content made available in a number of formats, including online.

Our client was approached by Penguin Books to licence and publish a database of this content. We advised our client on the licensing agreement with Penguin Books, in particular, this included the scope of rights being licensed (including the license of intellectual property rights in the database), exclusivity and obligation to provide ongoing updates.
